This Content Policy (“Policy”) governs the submission, review, distribution, monetization, and removal of Content through the SwaLay Platform, operated by TalantonCore LLP. By submitting Content you agree to this Policy. It should be read with our Terms of Service, Artist Content Declaration, Copyright & Intellectual Property Policy, Royalty Sharing Policy, Pricing & Payment Policy, Refund & Cancellation Policy, Privacy Policy, and Grievance Redressal Policy.
1. Scope & SwaLay’s Role
This Policy applies to all Content submitted for distribution to DSPs, telecom operators, social platforms, and other channels. “Content” includes sound recordings, compositions, albums, singles, ringtones and CRBT, lyrics, artwork, metadata, music videos, and related promotional material. SwaLay acts solely as a distributor and technology intermediary and does not claim ownership of your Content. All rights remain with the rights holder.
2. Eligibility & Age
Only persons aged eighteen (18) or older with full legal capacity may submit Content. SwaLay may require age and identity verification, including Aadhaar-based or DigiLocker-based verification, before activating an account, distributing Content, or releasing payouts. Submitting Content while under eighteen, or misrepresenting age or identity, is a material breach and is dealt with under the Terms of Service and the Copyright & Intellectual Property Policy.
3. Licence Grant
By submitting Content you grant SwaLay a non-exclusive, worldwide, royalty-free licence to reproduce, distribute, transmit, communicate to the public, display, and otherwise use the Content solely to provide distribution, promotion, and platform operations, including the right to sublicense to DSPs and partners. The licence lasts while your Content is live through SwaLay and ends on successful removal from all platforms, subject to surviving royalty-accounting obligations. You retain ownership at all times.
4. Distribution Channels
SwaLay distributes to global and Indian streaming platforms, social platforms, download stores, telecom/CRBT services, lyrics platforms, Content ID systems, and other partners, which may change over time. SwaLay uses commercially reasonable efforts to deliver to selected platforms but does not guarantee availability on any specific platform, as each applies its own requirements.
5. Submission Requirements
For every release you must: hold all necessary rights and licences from every rights holder; complete and confirm the Artist Content Declaration; submit original or properly licensed Content; include all required files, artwork, and metadata; and comply with all applicable laws and DSP policies. A false declaration leads to removal and may lead to suspension or termination.
6. Audio, Metadata & Artwork Standards
Audio must meet the technical and quality standards stated on the Platform (typically WAV, 16- or 24-bit, 44.1 kHz or higher) and be free of defects. Metadata must be accurate, complete, properly formatted, and not misleading; SwaLay assigns ISRC and UPC codes under its registrant prefix. Artwork must meet the resolution and format requirements, be original or licensed, and must not contain unauthorised logos, contact details, or infringing or misleading elements. AI-generated artwork is allowed only if you hold commercial rights and it infringes no third-party rights.
7. Artist Identity & Naming
Artist names must represent real individuals or genuine projects, must not be keyword-stuffed, generic, offensive, or confusingly similar to established artists, and must not impersonate anyone without written authorisation. Featured credits must be accurate. SwaLay may reject or require changes to names that breach these rules.
8. Cover Songs, Remixes, Samples & Interpolations
Cover versions require a valid mechanical or statutory licence obtained before submission; SwaLay does not obtain these for you, and you must provide proof within five (5) days of request. Remixes and altered versions require written authorisation from the owners of both the sound recording and the composition. Samples require clearance from all relevant rights holders. Interpolations require licensing from the composition owner and must be disclosed. Unlicensed covers, remixes, samples, or interpolations are infringing and will be removed, with the consequences set out in the Copyright & Intellectual Property Policy.
9. AI-Generated & AI-Assisted Content
AI-assisted Content with meaningful human creative contribution is generally accepted. Fully AI-generated Content may face additional scrutiny and may be rejected, and may be excluded from DSPs whose policies require it. Content that clones or simulates the voice, likeness, or identity of a real, identifiable person without that person’s documented written consent is prohibited. You must disclose AI use at submission and you remain responsible for ensuring AI Content infringes no third-party rights, including training-data rights.
10. SwaLay Studio Processing
You own original and processed audio. Studio output is provided as is, with results depending on source quality, and you are responsible for reviewing and approving it before distribution. SwaLay may use anonymised, aggregated Studio data to improve its models. Studio services may carry additional fees and limits.
11. Content Review & Approval
SwaLay reviews submissions for compliance, typically within 24–72 hours, and may take longer for high-volume periods or items needing scrutiny. Approval by SwaLay does not guarantee acceptance by any DSP. Rejected Content is returned with a reason for correction and resubmission. SwaLay may review and remove Content after distribution if it breaches this Policy, DSP policies, or law, or on a valid complaint.
12. Prohibited Content
The following are prohibited and will be rejected or removed: copyright-infringing Content; fraudulent or misleading Content, fake identities, or manipulated streams; hate speech or discrimination; content that promotes or facilitates illegal activity; non-musical recordings misrepresented as music; spam or duplicate low-effort uploads made only to generate royalties; content using a person’s personal data, voice, or likeness without consent; and content previously banned by DSPs and re-uploaded under altered metadata.
13. Exclusivity & Multi-Distribution
SwaLay operates a non-exclusive model unless separately agreed. Distributing the same recording through multiple distributors to the same platform can cause conflicts or takedowns for which SwaLay is not responsible. If you switch distributors, request a takedown from SwaLay before or at the same time as redistributing elsewhere. Certain premium or partnership opportunities may require time-limited exclusivity with your separate consent.
14. Monetization & Royalties
SwaLay collects revenue from DSPs, converts it to INR for accounting, retains the commission stated in your plan, and credits the balance to your wallet, all under the Royalty Sharing Policy. Payments are subject to minimum thresholds and applicable TDS. SwaLay monitors for artificial streaming and fraud and may withhold or recover revenue, suspend accounts, or remove Content where these are detected; DSPs may also independently deduct fraudulent revenue.
15. CRBT, Lyrics & Content ID
CRBT distribution depends on operator acceptance and technical fit, and operators may remove or restrict content. Lyrics must be accurate and properly licensed, and cover-song lyrics require licensing. Content ID is available only for original Content you fully own; covers, remixes using third-party recordings, uncleared samples, and public-domain or royalty-free elements are not eligible. Improper Content ID claims may incur penalties, and SwaLay may remove improper or fraudulent claims.
16. Third-Party Platform Terms
Once distributed, your Content is subject to each platform’s own terms, which may affect availability, presentation, delivery timing, and reporting. SwaLay is not responsible for DSP decisions or changes to DSP terms but will make reasonable efforts to communicate material changes.
17. Content Removal & Takedown
You may request takedown through the dashboard; SwaLay processes it within 24–48 hours, though DSP removal can take longer. SwaLay may remove Content where it breaches this Policy, the Terms, the law, or DSP policies, or on a valid copyright complaint. After removal, SwaLay continues to account for royalties earned before removal, subject to the standard schedule and thresholds. The distribution licence ends on successful removal, except for surviving royalty-accounting obligations.
18. Account Suspension & Termination
SwaLay may suspend or terminate accounts for breach of this Policy or the Terms, infringement, fraud or artificial streaming, false information, repeated quality or metadata failures, non-payment, interference with the Platform, or activity that exposes SwaLay to legal or reputational risk. On termination, SwaLay will make reasonable efforts to pay outstanding royalties owed, less lawful deductions; royalty-accounting obligations for pre-termination earnings survive.
19. SwaLay’s Rights & Limitation of Liability
SwaLay may modify or discontinue features, set and enforce standards, use your artist name and Content excerpts for Platform promotion unless you opt out in writing, cooperate with authorities and rights holders, and assign this Policy to a successor entity. To the maximum extent permitted by law, SwaLay is not liable for indirect, incidental, special, consequential, or punitive damages, and its total aggregate liability relating to this Policy shall not exceed the royalties actually paid to you in the twelve (12) months before the claim. The Platform is provided on an “as is” and “as available” basis.
20. Data Protection
Personal data handled in connection with distribution is processed under our Privacy Policy and the Digital Personal Data Protection Act, 2023 and Rules, 2025.
21. Policy Updates & Version Control
SwaLay may update this Policy at any time, effective on posting with a revised “Last Updated” date, with reasonable notice of material changes. SwaLay keeps version-controlled records, and the version in force when you submit a release governs that submission. Continued use after changes constitutes acceptance.
