1. No Guarantee of Results
SwaLay Digital does not guarantee any specific results, outcomes, or levels of success from using the Platform. This includes, but is not limited to:
- The number of streams, downloads, or listeners your music will receive on any digital service provider (DSP)
- Revenue or royalty earnings from distributed content
- Playlist placements, editorial features, or algorithmic recommendations on any third-party platform
- Approval or acceptance of your content by any DSP, store, or streaming service
- Growth in your audience, fanbase, or social media following
Music distribution is subject to numerous external factors beyond SwaLay's control, including market conditions, consumer preferences, platform algorithms, and competition. Any examples, case studies, or success stories shared on the Platform are for illustrative purposes only and should not be interpreted as guarantees of similar results.
SwaLay does not guarantee that content submitted through the Platform will be approved, published, or remain available on any particular store or streaming service. DSPs reserve the right to reject, remove, or restrict content at their sole discretion, and SwaLay shall not be held liable for any such actions taken by third-party platforms.
2. Not a Record Label, Publisher, or Manager
SwaLay Digital is a music distribution and technology platform. SwaLay is not a record label, music publisher, talent manager, booking agent, or entertainment attorney.
By using the Platform, you acknowledge and understand that:
- SwaLay does not sign artists to recording contracts or exclusive deals
- SwaLay does not own, claim, or acquire any ownership rights to your music, compositions, or intellectual property
- SwaLay does not provide A&R (Artists and Repertoire) services, creative direction, or artistic guidance
- SwaLay does not manage, represent, or act as an agent on your behalf in any capacity
- SwaLay does not negotiate deals, contracts, or agreements with third parties on your behalf
- SwaLay does not provide publishing administration or sync licensing services
Artists and users retain full ownership of their content and are solely responsible for their own career decisions, creative direction, and business relationships. SwaLay's role is limited to providing the technology and infrastructure for digital music distribution and related services as described in our Terms of Service.
3. Not Legal, Tax, or Financial Advice
Nothing on the Platform, including but not limited to blog posts, help articles, FAQs, tutorials, webinars, support communications, or any other content published by SwaLay, constitutes legal, tax, financial, or professional advice.
Any information provided by SwaLay regarding:
- Copyright, intellectual property, or licensing matters
- Tax obligations, TDS (Tax Deducted at Source), GST, or other taxation matters
- Royalty calculations, payment structures, or revenue splits
- Contractual obligations or legal requirements
- Business structuring or entity formation
is provided for general informational purposes only and should not be relied upon as a substitute for professional advice from a qualified attorney, chartered accountant, tax advisor, or financial consultant.

4. Third-Party Platforms & Services
SwaLay Digital distributes content to and integrates with various third-party platforms, digital service providers (DSPs), and services. These include, but are not limited to, Spotify, Apple Music, Amazon Music, YouTube Music, JioSaavn, Gaana, Instagram/Facebook, TikTok, and other stores and streaming services.
SwaLay disclaims all responsibility and liability for:
- The actions, policies, terms of service, or decisions of any third-party platform or DSP
- Changes to third-party platform policies, algorithms, or features that may affect your content's visibility, availability, or performance
- Delays in content delivery, processing, or takedown by third-party platforms
- Errors, inaccuracies, or discrepancies in streaming counts, analytics, or royalty reporting by third-party platforms
- Content removals, account suspensions, or restrictions imposed by third-party platforms
- Data collection, privacy practices, or security measures of third-party platforms
Any links to third-party websites, services, or resources provided on the Platform are for convenience only. SwaLay does not endorse, control, or assume responsibility for the content, privacy policies, or practices of any third-party websites or services. Your interactions with third-party platforms are governed solely by the terms and policies of those platforms.
5. Accuracy of Information
While SwaLay Digital makes reasonable efforts to ensure that the information provided on the Platform is accurate and up to date, we do not warrant or guarantee the accuracy, completeness, reliability, or currentness of any information displayed on or made available through the Platform.
This includes, but is not limited to:
- Pricing information, service fees, and subscription plans
- Delivery timelines and estimated processing times for content distribution
- Royalty rates, revenue estimates, and payout calculations
- Platform features, tools, and service descriptions
- Help articles, documentation, and support resources
- Analytics data, streaming statistics, and performance reports

6. SwaLay Studio & Audio Processing
SwaLay Studio and any audio processing, mastering, or enhancement tools provided through the Platform are offered as automated technology services. SwaLay does not guarantee that:
- Audio processing results will meet your specific quality expectations or professional standards
- Processed audio will be accepted or approved by all DSPs or streaming platforms
- Audio enhancement or mastering will improve the commercial performance of your music
- The audio processing tools will be free from errors, artifacts, or unintended alterations
- Audio processing features will be available at all times or without interruption
SwaLay Studio tools are provided as a convenience and should not be considered a replacement for professional audio mastering or engineering services. Artists are solely responsible for reviewing and approving the final quality of their audio content before distribution.
SwaLay shall not be held liable for any loss, damage, or degradation to audio files resulting from the use of SwaLay Studio or any audio processing features on the Platform. Users are strongly advised to maintain backup copies of all original audio files before using any processing tools.
7. Uptime & Availability
SwaLay Digital strives to maintain the Platform's availability and performance, but does not guarantee uninterrupted, error-free, or continuous access to the Platform, its features, or any services provided through the Platform.
The Platform may be temporarily unavailable due to:
- Scheduled maintenance, updates, or system upgrades
- Unscheduled downtime caused by technical issues, server failures, or infrastructure problems
- Internet connectivity issues, network disruptions, or third-party service outages
- Force majeure events including natural disasters, pandemics, government actions, or other circumstances beyond SwaLay's reasonable control
- Security incidents, cyberattacks, or necessary emergency maintenance
SwaLay shall not be liable for any loss, damage, or inconvenience arising from the Platform's unavailability or any interruption in service. SwaLay does not provide any service level agreement (SLA) or uptime guarantee unless expressly stated in a separate written agreement.
8. Content Responsibility
All content uploaded, submitted, or distributed through the Platform by users remains the sole responsibility of the respective user. SwaLay Digital does not review, endorse, approve, or assume any responsibility for user-generated content, including but not limited to:
- Music tracks, albums, EPs, singles, and associated audio files
- Album artwork, cover images, and visual assets
- Metadata including track titles, artist names, lyrics, credits, and descriptions
- Content declarations, copyright claims, and rights information
You are solely responsible for ensuring that all content you submit through the Platform:
- Does not infringe upon the copyrights, trademarks, or other intellectual property rights of any third party
- Complies with all applicable laws, regulations, and the policies of the DSPs to which it is distributed
- Is accurate, truthful, and not misleading in any way
- Does not contain unlawful, defamatory, obscene, or harmful material
SwaLay reserves the right to remove or refuse to distribute any content that, in its sole discretion, violates these requirements or poses a risk to the Platform, its users, or third parties.
9. No Warranties
The Platform, including all content, features, tools, and services, is provided on an “as-is” and “as-available” basis without warranties of any kind, whether express, implied, statutory, or otherwise.
To the fullest extent permitted by applicable law, SwaLay Digital expressly disclaims all warranties, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties that the Platform will meet your requirements or expectations
- Warranties that the Platform will be uninterrupted, timely, secure, or error-free
- Warranties regarding the accuracy, reliability, or completeness of any information provided through the Platform
- Warranties that defects in the Platform will be corrected
- Warranties that the Platform or its servers are free of viruses, malware, or other harmful components

- Cost of procurement of substitute goods or services

In jurisdictions that do not allow the exclusion or limitation of liability for consequential or incidental damages, SwaLay's liability shall be limited to the maximum extent permitted by law. In no event shall SwaLay's total aggregate liability exceed the amount paid by you to SwaLay during the twelve (12) months preceding the event giving rise to the claim.
